Terms of Service

1. Acceptance of Terms

By installing, accessing, or using North Star Metric ("the Service"), you ("Merchant", "you", or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a binding agreement between you and North Star Metric. The Service is also subject to Shopify's Partner Program Agreement and Shopify API Terms of Use, which apply in addition to these Terms.

2. Description of Service

North Star Metric provides server-side analytics and attribution services for e-commerce merchants, including:

  • Server-side visitor tracking and device identification
  • Multi-touch marketing attribution analysis
  • Customer journey and identity resolution
  • Revenue and conversion attribution reporting
  • Server-side event forwarding to advertising platforms (Meta, Google, TikTok)
  • Cohort analysis and lifetime value reporting

3. Merchant Responsibilities

As a user of the Service, you represent and warrant that:

  • You have the legal authority to share store visitor and customer data with our Service
  • You comply with all applicable laws, including GDPR, CCPA, ePrivacy Directive, and local data protection regulations
  • You maintain a privacy policy on your store that discloses the use of analytics and attribution services, including North Star Metric's role as a data processor
  • You implement and maintain appropriate cookie consent mechanisms (CMP) on your store, and configure the Shopify customer privacy settings for our web pixel
  • You do not use the Service to track individuals outside your own store context
  • You do not use identity resolution data for direct marketing without appropriate consent mechanisms
  • You do not upload or transmit sensitive personal data through the Service, including health data, financial account credentials, government ID numbers, biometric data, or data relating to children under 16
  • You do not attempt to reverse-engineer, modify, or create derivative works of the Service
  • You do not use the Service for any illegal or unauthorized purpose

4. Data Processing

When you use our Service, we act as a Data Processor on your behalf. You remain the Data Controller for visitor and customer data collected through our tracking.

You are solely responsible for:

  • Providing required privacy notices to your store visitors
  • Obtaining any required consents for tracking and data processing
  • Responding to data subject access, deletion, and portability requests
  • Ensuring that your use of our Service complies with your own privacy policy

5. Advertising Platform Integrations

When you activate an advertising platform integration (Meta Conversions API, Google Ads Enhanced Conversions, TikTok Events API), you instruct us to transmit hashed conversion data to those platforms on your behalf.

You acknowledge that:

  • You have a direct relationship with each advertising platform and are bound by their respective terms of service
  • The transmission of hashed PII (email, phone) constitutes "sharing" under CCPA and you are responsible for providing any required opt-out mechanisms
  • We transmit data only as instructed by your integration configuration and do not independently decide what data to share

6. Attribution Data Accuracy

Attribution data provided by the Service is probabilistic in nature and based on statistical models, device identification, and identity resolution algorithms. While we strive for maximum accuracy, we do not guarantee that attribution results are complete or error-free.

You acknowledge that:

  • Attribution results are estimates based on available data and should not be treated as definitive measurements
  • You are responsible for independently validating attribution data before making significant business decisions (such as ad spend allocation)
  • North Star Metric is not liable for business decisions made based on attribution outputs
  • Results may vary based on tracking coverage, consent rates, browser restrictions, and other factors outside our control

7. Intellectual Property and Data Ownership

Your Data: You retain ownership of all customer and visitor data ("Customer Data") collected through your store. We process this data solely on your behalf and in accordance with your instructions.

Aggregate Data: We may use anonymized, aggregated data derived from the Service to improve our products, generate industry benchmarks, and conduct research. This aggregate data cannot be used to identify any individual merchant, store visitor, or customer. You may opt out of aggregate data usage by contacting us.

Our Service: All intellectual property rights in the Service, including software, algorithms, models, documentation, and trademarks, remain with North Star Metric. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

8. Pricing and Payment

Pricing is handled through the Shopify App Store and Stripe. By subscribing to a paid plan, you authorize the applicable payment provider to charge the fees to your payment method on file.

We may change pricing with 30 days' notice. Price changes do not affect the current billing period.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time with reasonable notice.

Scheduled maintenance will be communicated in advance when possible. We are not liable for any loss or damage resulting from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • North Star Metric shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service
  • Our total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the total fees paid by you to North Star Metric in the twelve (12) months preceding the claim
  • We are not liable for loss of revenue, loss of data, or loss of business opportunities arising from attribution data, tracking failures, or service interruptions

Nothing in these Terms excludes or limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be excluded by applicable law.

11. Termination

You may terminate your use of the Service at any time by uninstalling the app from your Shopify store. We may terminate or suspend your access if:

  • You violate these Terms
  • You fail to pay applicable fees
  • We are required to do so by law
  • We discontinue the Service (with 30 days' notice)

Upon termination, your data will be retained for 60 days to allow for data export, after which it will be permanently deleted in accordance with our Privacy Policy.

12. Shopify App Store

The Service is distributed through the Shopify App Store. You acknowledge that:

  • Shopify's Platform Terms of Use apply to your use of the Service alongside these Terms
  • Your store data within Shopify is subject to Shopify's own data governance policies
  • Our access to your store data is limited to the API scopes you approve during installation
  • Shopify may remove or restrict our app at any time in accordance with their policies

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be submitted to the competent courts of Amsterdam, the Netherlands.

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree with the changes, you may terminate your use of the Service before the changes take effect.
